Service and Licensing Agreement

This Service Agreement and Licensing Agreement (“Agreement”) governs the purchase and use of products and services provided by MMT Productions (“MMT Productions”, “we”, “our”, or “us”).

By purchasing any product or service from MMT Productions, the client (“Client”, “you”, or “your”) agrees to be bound by this Agreement.

Scope of Services

MMT Productions may provide products and services including, but not limited to:

  • Premade Book Covers

  • Custom Book Covers

  • eBook Cover Design

  • Print Book Cover Design

  • Manuscript Critiques

  • Line Editing

  • SPaG Editing (Spelling, Punctuation, and Grammar Editing)

  • Book Formatting

  • Publishing and Design Consultation Services

Specific project details, pricing, timelines, and deliverables will be agreed upon at the time of purchase.

Client Responsibilities

The Client agrees to:

  • Provide accurate information necessary for project completion.

  • Supply all requested materials in a timely manner.

  • Maintain ownership or proper authorization for all submitted content.

  • Review and approve work promptly when requested.

The Client is solely responsible for ensuring that any manuscripts, images, trademarks, logos, or other materials provided to MMT Productions do not infringe upon the rights of any third party.

Custom Cover Design Services

Design Process

Custom cover projects are created based upon information, preferences, and materials supplied by the Client.

MMT Productions will make reasonable efforts to create a design that reflects the Client’s requested vision; however, artistic interpretation remains part of the creative process.

Revisions

Unless otherwise specified in writing, custom cover projects include up to three (3) rounds of revisions.

Additional revisions may be billed at MMT Productions’ current hourly rate.

Project Completion

A project shall be considered complete once final files have been delivered to the Client.

Any additional modifications requested after project completion may require a new order and additional fees.

Premade Cover Purchases

Premade book covers may be sold under either a Standard License or an Exclusive License, depending on availability at the time of purchase.

The rights granted to the purchaser depend upon the license option selected during checkout.

Copyright ownership of all artwork remains with MMT Productions and its licensors unless expressly transferred through a separate written agreement.

Standard License

Unless an Exclusive License is selected and purchased, premade covers are sold under a Standard License.

A Standard License permits the purchaser to use the purchased cover design for one book project, including:

  • Print editions

  • eBook editions

  • Marketing and promotion of the book

  • Retail listings and online bookstores

  • Author websites and social media promotion

Under a Standard License:

  • The purchaser receives non-exclusive usage rights.

  • The cover may remain available for future purchase or licensing by other customers.

  • MMT Productions retains the right to continue offering, modifying, reselling, or relicensing the cover.

  • The purchaser may not claim exclusive ownership of the design.

Exclusive License

Where available, an Exclusive License may be purchased for an additional fee.

An Exclusive License may only be purchased if the cover has not previously been sold or licensed to another customer.

Upon purchase of an Exclusive License:

  • The purchaser receives exclusive usage rights to the cover design for their book project.

  • The cover will be removed from future sale.

  • MMT Productions will not sell or license the same cover design to another customer.

  • MMT Productions will not offer derivative versions of the purchased cover for future commercial sale.

Exclusive licensing does not transfer copyright ownership unless expressly stated in a separate written agreement.

Availability of Exclusive Licenses

The Exclusive License option is only available before a premade cover has been sold or licensed for the first time.

If a purchaser buys a premade cover under a Standard License and does not select the Exclusive License option, the Exclusive License option will be removed from that cover listing.

After any Standard License has been sold for a cover, that cover may continue to be sold under Standard Licenses only.

All availability decisions are final.

Ownership of Creative Works

Rejected Concepts and Drafts

All rejected concepts, drafts, mockups, source files, preliminary artwork, and unused designs remain the exclusive property of MMT Productions.

MMT Productions may modify, reuse, repurpose, or resell rejected concepts unless otherwise agreed in writing.

Final Approved Designs

Upon full payment, the Client receives the license rights described in this Agreement.

Copyright ownership does not transfer unless expressly stated in a separate written agreement signed by both parties.

Custom cover designs are created exclusively for the commissioning Client and will not be resold by MMT Productions unless otherwise agreed in writing.

Cover Design License

Upon full payment, MMT Productions grants the Client the license applicable to the product purchased, whether a Standard License, Exclusive License, or custom design license, as described in this Agreement.

Unless otherwise agreed in writing, the license permits:

  • Publication of printed books.

  • Publication of eBooks.

  • Marketing and promotion of the book.

  • Display on retail websites and social media platforms.

  • Use in advertising directly related to the book.

The license does not permit:

  • Resale of the artwork itself.

  • Distribution of editable source files.

  • Sale or licensing of the artwork to third parties.

  • Use of the artwork as a standalone commercial product.

  • Use on merchandise intended for resale without prior written permission.

  • Transfer of the license to another individual or business.

Copyright ownership remains with MMT Productions and its licensors unless expressly transferred through a separate written agreement.

Stock Images and Licensed Assets

Some designs may incorporate legally licensed stock photography, fonts, textures, graphics, or other third-party assets.

Such assets remain subject to the licensing terms of their original creators.

The Client receives only those rights that MMT Productions is authorized to pass through under applicable licenses.

MMT Productions makes no representation that ownership of third-party assets is transferred to the Client.

Portfolio Rights

MMT Productions reserves the right to display completed projects, cover designs, artwork, titles, author names, and related promotional materials in:

  • Portfolios

  • Galleries

  • Social media

  • Marketing materials

  • Promotional content

  • Business presentations

This right continues after project completion and publication unless otherwise agreed in writing.

If a project requires confidentiality prior to publication, the Client should notify MMT Productions before work begins.

Manuscript Critiques and Editing Services

Editing and critique services are professional opinions intended to assist the Client in improving their manuscript.

MMT Productions does not guarantee:

  • Publication

  • Commercial success

  • Sales performance

  • Literary agent representation

  • Positive reviews

The Client retains full responsibility for all publishing decisions and final manuscript content.

Book Formatting Services

Formatting services are provided based on industry-standard publishing practices.

While MMT Productions strives for compatibility with major publishing platforms, the Client remains responsible for reviewing final files before publication.

Publishing platform requirements may change without notice.

Payment Terms

Payment schedules are determined at the time of purchase.

Unless otherwise stated:

  • Work may not begin until payment requirements have been satisfied.

  • Final files may be withheld until payment has been received in full.

  • Outstanding balances may result in project suspension.

MMT Productions reserves the right to suspend work on any project with overdue balances until payment has been received.

Refunds and Cancellations

Because products and services are custom and digital in nature:

  • Completed services are non-refundable.

  • Delivered digital products are non-refundable.

  • Deposits, retainers, and payments for work already performed are non-refundable.

Exceptions may be granted at the sole discretion of MMT Productions or where required by law.

Limitation of Liability

To the maximum extent permitted by law, MMT Productions shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from any product or service provided.

In all cases, MMT Productions’ total liability shall not exceed the amount paid by the Client for the specific product or service giving rise to the claim.

Indemnification

The Client agrees to indemnify and hold harmless MMT Productions, its owners, contractors, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

  • Materials supplied by the Client.

  • Copyright infringement by Client-provided content.

  • Trademark disputes involving Client materials.

  • Misuse of products or services provided by MMT Productions.

Governing Law

This Agreement shall be governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Changes to This Agreement

MMT Productions reserves the right to modify this Agreement at any time.

The most current version will always be available on this website.

Continued use of our services following publication of changes constitutes acceptance of the revised Agreement.
